FOR USE OF COMPUTER SOFTWARE PROGRAM

Dear User!
Before starting the installation, copying or otherwise using the software product, carefully read through the terms of this Agreement which constitutes a standard form of adhesion contract concluded in writing or another manner provided by the current legislation of the Russian Federation.
If You do not agree with the terms of this Agreement, You may not use the Software Product. Installation, launch or other commencement of usage of the Software Product means Your complete agreement with all conditions of this Agreement and proper conclusion thereof as stipulated under Article 1286 Paragraph 3 of the Civil Code of the Russian Federation.
This Agreement becomes legally binding if You do not accept its terms, You must uninstall the Software from your Bitrix24 portal.

This License Agreement (hereinafter referred to as the Agreement) is entered between whatAsoft LLC (hereinafter referred to as Licensor) and the User (any individual, sole proprietor, legal entity hereinafter referred to as User) regarding the Computer Program "whatAsoft: Time Spent Including Subtasks" (hereinafter referred to as Software).

The main terms of this Agreement:

Software – computer program “whatAsoft: Total time spent including subtasks” (both in whole and separately), exclusive property rights to which within the territory specified in Section 1.4 of this Agreement belong to the Licensor.

1. SUBJECT MATTER OF THE AGREEMENT

1.1. Under the procedure and subject to the terms set forth in this Agreement, the Licensor grants the User the right to use the Software (simple non-exclusive license) implemented by installing (installation) and launching the Software by the User according to its technical documentation and the terms of this Agreement.

1.2. All provisions of this Agreement apply both to the Software as a whole and to its separate components. The Software is licensed as an integrated computer program, and its components cannot be separated and used on different Bitrix24 portals.

1.3. This Agreement comes into effect before or directly at the beginning of the use of the Software and remains valid throughout the entire term of the Licensor's exclusive right to the Software, provided that the User complies properly with the terms of this Agreement.

1.4. The Licensor provides the User with the right to use the Software on the territories of Russia, Ukraine, Belarus, Kazakhstan, Kyrgyzstan, Uzbekistan, Turkmenistan, Tajikistan, Lithuania, Latvia, Estonia, Moldova, Georgia, Armenia, Azerbaijan under the terms and procedures established by the current legislation of the Russian Federation and this Agreement.

2. COPYRIGHTS

2.1. The Software is the result of intellectual activity and falls under copyright protection as a computer program regulated and protected by the laws of the Russian Federation concerning intellectual property and international law norms.

2.2. The Software contains trade secrets and confidential information belonging to the Licensor. Any unauthorized use of the Software violating the terms of this Agreement will be considered infringement of the Licensor’s rights and sufficient grounds for depriving the User of the rights granted under this Agreement.

2.3. The Licensor guarantees possession of all rights related to the use of the Software, including its documentation, necessary for granting the User the right to use the Software under this Agreement.

2.4. Violations of copyrights entail liability in accordance with the applicable laws of the Russian Federation.

3. TERMS AND CONDITIONS FOR USING THE SOFTWARE AND RESTRICTIONS

3.1. This Agreement grants the right to install (install), run and use one legitimate copy of the Software within its functional capabilities on a single Bitrix24 portal.

3.2. The User has the right, informing the Licensor, to transfer their rights and obligations under this Agreement once entirely to another User, except for the right to subsequent assignment (transfer) of these rights to other Users, thus limiting the possibility of reassignment of rights under this Agreement. Such transfer takes place only if the new user fully agrees with all terms and conditions of this Agreement. Upon transferring the right to use the Software, the User undertakes to completely destroy all copies of the Software installed on the User's computers, including backup copies. The User is obliged to provide full data about the new User for reregistration purposes accordingly to this Agreement.

Transfer of rights under this Agreement cannot occur indirectly or via third parties and is prohibited in case of Demo version usage where original User is forbidden to dispose of such rights.

3.3. The User may modify, add or remove files of purchased Software only within the limits allowed by the Authorship Law of the Russian Federation.

3.4. It is strictly forbidden to delete any copyright notices.

3.5. Any use of the Software contrary to the laws of the Russian Federation is prohibited.

4. LIABILITY OF PARTIES

4.1. Non-compliance with the terms of this Agreement leads to responsibility as defined by the laws of the Russian Federation.

4.2. The Licensor shall bear no liability towards the User for any damage, loss of profit, information or savings resulting from the use or inability to use the Software even if the User had previously notified the Licensor of the possibility of such damages or claims from third parties.

5. LIMITED WARRANTY

5.1. The Licensor provides the User with the right to receive Technical Support consultancy regarding issues connected with the functionality of the Software, peculiarities of installation and operation on standard configurations of supported (popular) operating systems, mail servers and others during the entire period of validity of this Agreement and in compliance with the current legislation of the Russian Federation without payment of additional remuneration.

5.2. All updates of the Software are integral parts thereof and are intended solely for joint use together with the Software as a unified computer program in accordance with the present Agreement unless special terms of using such updates are provided in a separate licensing agreement.

5.3. If errors arise while using the Software, the Licensor commits to correct them promptly and release a new corrected version of the Software. Both parties acknowledge that exact deadlines for error correction cannot be predetermined because the functioning of the Software depends heavily on interaction with programs developed by third-party developers, operating system compatibility, hardware resources of the User's device, etc., over which the Licensor does not have complete control.

5.4. In case of violation of any clause of Section 3 of this Agreement, the User automatically loses the right to obtain updates (new versions) of the Software.

6. EFFECTIVENESS, AMENDMENTS AND TERMINATION OF THIS AGREEMENT

6.1. This Agreement was executed and should be interpreted in accordance with the legislation of the Russian Federation.

6.2. In cases of breach of this Agreement by the User regarding the use of the Software, the Licensor reserves the right to terminate this Agreement unilaterally, having informed the User thereof.

6.3. Upon termination of this Agreement, the User is obligated to cease using the Software completely and eliminate all copies of the Software installed on his/her Bitrix24 portal, including backups and all Software components.

6.4. The User may terminate this Agreement at any time by deleting the Software completely.

6.5. Should competent courts declare certain clauses of this Agreement invalid, the remaining part of the Agreement continues to remain effective.

6.6. This Agreement also applies to all future updates (newer versions) of the Software made available to the User during the validity of this Agreement unless otherwise explicitly stated in a separate licensing agreement or amendments thereto.
